ARTICLE 2- SUBJECT – Distance Selling Agreement

The subject matter of this agreement is the sale and delivery of the product specified below, including its characteristics and sales price, which the BUYER has ordered electronically from the SATIC’s website haticekadioglu.com, in accordance with the provisions of Law No. 4077 on the Protection of Consumers and the Regulation on Distance Contracts, and the determination of the rights and obligations of the parties.

The Buyer declares that they have been informed by the Seller in a clear, understandable, and internet-appropriate manner regarding the Seller’s name, title, physical address, telephone number, and other contact information; the basic characteristics of the product subject to sale; the sales price including taxes; the payment method; the delivery conditions and costs; and all other preliminary information related to the product subject to sale; the right of withdrawal and how to exercise this right; and the official authorities to which complaints and objections may be submitted. The buyer hereby acknowledges and declares that they have been informed by the seller in a clear, understandable, and internet-appropriate manner regarding the above matters, that they have confirmed this preliminary information electronically, and that they have subsequently placed an order for the goods in accordance with the provisions of this contract.

The preliminary information provided on the haticekadioglu.com website and the invoice issued based on the order placed by the buyer are integral parts of this agreement.

ARTICLE 3- SUBJECT OF THE AGREEMENT Product/Payment/Delivery Information

The type and category of the product(s) purchased electronically, the quantity, brand/model, sales price, payment method, recipient, delivery address, invoice information, and shipping cost are as follows. The person to whom the invoice is issued must be the same as the person who entered into the contract and received the product at the delivery point. The information provided below must be accurate and complete. The buyer agrees to fully compensate for any damages arising from inaccurate or incomplete information and also accepts all liability arising from such circumstances.

The SELLER reserves the right to suspend the order if the information provided by the BUYER does not match the actual information. If the SELLER identifies an issue with the order and cannot contact the BUYER via the phone number, email address, or postal address provided by the BUYER, the SELLER will suspend the order for 15 (fifteen) days. The BUYER is expected to contact the SELLER regarding the matter within this period. If no response is received from the BUYER within this period, the SELLER will cancel the order to prevent harm to both parties.

ARTICLE 4- Contract Date and Force Majeure

The contract date is the date on which the order was placed by the recipient, namely ../../….

Circumstances that did not exist or could not be foreseen at the time the contract was signed, developed beyond the control of the parties, and made it impossible for one or both parties to fulfill their obligations and responsibilities under the contract, either in part or in full, or to fulfill them on time, shall be considered force majeure (natural disasters, war, terrorism, riots, changes in legislation, confiscation or strikes, lockouts, significant malfunctions in production and communication facilities, etc.). The party affected by force majeure shall immediately notify the other party in writing.

During the continuation of the force majeure, the parties shall not be liable for any failure to perform their obligations. If this force majeure situation continues for 30 (thirty) days, each party shall have the right to terminate the contract unilaterally.

ARTICLE 5- Rights and Obligations of the Seller

5.1. The Seller agrees and undertakes to fulfill the obligations imposed on it in the contract in accordance with the provisions of the Consumer Protection Law No. 4077 and the Regulation on Distance Contracts, except in cases of force majeure.

5.2. Persons under the age of 18 (eighteen) cannot make purchases from https://www.aysirashop.com. The seller shall rely on the age stated by the buyer in the contract. However, the seller shall not be held liable in any way for any incorrect age stated by the buyer.

5.2. haticekadioglu.com is not responsible for price inaccuracies resulting from system errors. Accordingly, the seller is not responsible for any promotional or pricing errors that may arise due to interventions made to the website through the system, design, or illegal means. The buyer cannot make any claims against the seller based on system errors.

5.3. Purchases can be made on haticekadioglu.com using a credit card (Visa, MasterCard, etc.) or bank transfer. Orders for which payment has not been received within one week of the order date will be canceled. The time at which orders are processed is not the time the order is placed, but the time when the necessary payment is made from the credit card account or when the transfer (EFT) reaches the bank accounts. Payment methods such as cash on delivery or postal money orders that are not discussed with customer service are not accepted.

ARTICLE 6- Rights and Obligations of the Buyer

6.1. The buyer agrees and undertakes to fulfill the obligations imposed on them in the contract in full, except in cases of force majeure.

6.2. By placing an order, the buyer is deemed to have accepted the terms of the contract and agrees and undertakes to make payment in accordance with the payment method specified in the contract.

6.3. The buyer agrees to review all preliminary information regarding the product being sold on the haticekadioglu.com website, including the seller’s name, title, physical address, telephone number, and other contact information; the basic characteristics of the product being sold; the sales price including taxes; payment method, delivery conditions and costs, etc., all preliminary information regarding the goods subject to sale, the right of withdrawal and how to exercise this right, the official authorities to which complaints and objections may be submitted, etc., in a clear, understandable, and internet-appropriate manner, and declares that they have confirmed this preliminary information electronically.

ARTICLE 7- Order/Payment Procedure Order:

After the total amount in Turkish Lira (TL) including VAT (total installment amounts for installment transactions) of the products added to the shopping cart is approved by the buyer, the transaction is processed through the relevant bank card’s POS terminal.

Any disruptions in the process or issues related to the credit card will be communicated to the buyer via one or more of the contact methods specified in the contract (phone, fax, or email). If necessary, the buyer may be asked to contact their bank. The time of order processing is not the time the order is placed, but the time when the necessary payment is made from the credit card account or when the transfer (EFT) reaches the seller’s accounts.

In exceptional cases, if it is determined that the product subject to the contract cannot be supplied for a valid reason and/or a stock issue arises, the buyer will be immediately informed in a clear and understandable manner. With the buyer’s consent, an alternative product of equal quality and price may be sent to the buyer, or, in accordance with the buyer’s preference and choice, a new product may be sent, the product may be expected to enter stock or the obstacle preventing delivery may be resolved, and/or the order may be canceled.

Payment:

haticekadioglu.com offers cash transfer payment options for buyers who do not wish to use their credit card information online. When paying by transfer, buyers can choose the bank that is most convenient for them and make the transfer. If an EFT is made, the date of transfer to the account will be taken into consideration. When making a bank transfer and/or EFT, the “Sender Information” must match the Invoice Information, and the order number must be included.

If, after delivery of the product, the buyer’s credit card is used by unauthorized persons in an unjust or unlawful manner through no fault of the buyer, and the relevant bank or financial institution does not pay the product price to the seller, the buyer must return the product delivered to them to the seller within 10 days. In such cases, shipping costs shall be borne by the Buyer.

If the Buyer has chosen to pay by credit card, the Buyer agrees, declares, and undertakes to confirm the relevant interest rates and information regarding default interest from their bank, and that the provisions regarding interest and default interest shall be applied within the scope of the “Credit Card Agreement” between the Bank and the Buyer in accordance with the provisions of the legislation in force.

ARTICLE 8- Shipping/Delivery Procedure

FOR DOMESTIC SALES:

Shipping:

Upon sending the order confirmation email, the product/products are shipped to the delivery point specified by the buyer on the seller’s website haticekadioglu.com or, in provinces where there is no delivery point, to the address provided by the buyer.

Delivery:

The buyer will collect the product purchased through the https://www.aysirashop.com website from the store selected as the delivery point within 14 days. The ordered product will only be delivered to the buyer in whose name the invoice is issued, and delivery to third parties is not possible.

The buyer has the right to try on and test the product they have purchased at the store designated as the delivery point. There may be minor differences in craftsmanship between products of the same model. Alterations such as body narrowing, hem length, and sleeve length made during these fittings are free of charge. However, if the buyer requests any alterations that require additions, removals, or modifications to the purchased product, the cost of this service will be invoiced separately to the buyer.

If the buyer wishes to receive the product in a province where there is no delivery point, the product/products will be shipped by the seller to the address provided by the buyer.

FOR INTERNATIONAL SALES:

Delivery will be made as soon as possible after the stock is available and the goods are paid for. Delays may occur due to force majeure such as natural disasters, adverse weather conditions, etc. The Seller will deliver the goods/services within 30 (thirty) days of the order.

The goods/services will be delivered to the buyer at the address specified by the buyer. If the buyer requests delivery to a different person or address, delivery will be made in accordance with this request. Delivery costs are the responsibility of the buyer. If the seller has stated on the website that delivery costs will be covered by the seller for purchases exceeding the advertised amount or in certain campaigns, the delivery costs will be covered by the seller. The delivery of the goods/services is carried out by courier companies.

ARTICLE 9 – Procedure Regarding Product Returns and Right of Withdrawal

For Domestic Sales:

The Buyer has the right to withdraw from the contract within fourteen days of confirming the order without providing any reason and without paying a penalty. The return shipping and service fee (350 TL) for the returned product or products will be deducted from the amount paid by the Buyer.

There is no cancellation/return option for products that have been modified.

The buyer has the right to return the product within 14 days. The return shipping and service fee (350 TL) for the returned product or products will be deducted from the amount paid by the buyer.

Returns will not be accepted if the product protection band attached to wedding dresses and evening gowns is removed or damaged.

For International Sales:

In accordance with the law, the buyer cannot exercise their right of withdrawal in the following cases:

Contracts for goods or services whose price varies depending on fluctuations in financial markets and are beyond the Seller’s control (e.g., jewelry, gold, and silver products); Contracts for the delivery of goods prepared at the Buyer’s request or clearly in accordance with their personal needs, which are not suitable for return due to their nature and are at risk of rapid deterioration or have an expiry date; Contracts for the delivery of goods whose protective elements such as packaging, tape, seals, or packages have been opened after delivery, and whose return is not appropriate for health and hygiene reasons; Contracts for the delivery of goods that have been mixed with other products after delivery and cannot be separated due to their nature; Contracts for the delivery of books, audio or video recordings, software programs, and computer consumables provided in a physical medium, provided that the protective elements such as packaging, tape, seal, or package have been opened by the buyer; Contracts for the delivery of periodicals such as newspapers and magazines, except those provided under a subscription contract; Contracts for services that must be performed on a specific date or during a specific period, such as accommodation, goods transportation, car rental, food and beverage supply, and leisure or recreation activities; Contracts for the provision of betting and lottery services; Contracts for services that have commenced with the consumer’s consent before the withdrawal period expires; and contracts for services performed immediately in an electronic environment and intangible goods delivered immediately to the consumer (gift cards, gift vouchers, coupons that can be used in place of money, and similar items).

The right of withdrawal cannot be exercised for goods or services excluded from the scope of the Distance Contracts Regulation (foodstuffs, beverages, or other daily consumption goods delivered to the Buyer’s residence through the Seller’s regular deliveries, as well as services in areas such as travel, accommodation, catering, and entertainment).

In purchases made through the www.aysirashop.comsite, there is no right of return for purchased products due to health and hygiene reasons. It has been notified to the Buyer within the scope of this contract that there is no right of return if the purchased product is delivered to the Buyer by the shipping company in full and without defect, and that the relevant product will not be accepted for return.

ARTICLE 10 – Confidentiality – Distance Selling Agreement

The information provided by the buyer in this agreement and the information provided to the seller for the purpose of payment will not be shared with third parties by the seller.

The seller may only disclose this information within the framework of administrative/legal obligations. The seller may provide the relevant authority with the requested information if it is in its possession, including in the context of any judicial investigation with documented investigative authority.

Credit card information is never stored. Credit card information is only used to securely transmit payment details to the relevant banks during the payment process in order to obtain authorization, and is deleted from the system after authorization.

The buyer’s email address, postal address, and phone number are only used by the seller for standard product delivery and notification procedures. During certain periods, campaign information, information about new products, and promotional information may be sent to the buyer after their approval.

ARTICLE 12- Competent Court and Enforcement Offices in Case of Disputes

In the event of a dispute arising from the implementation of this agreement, the Consumer Arbitration Boards, up to the value announced annually in December by the Ministry of Industry and Trade, and the Consumer Courts in the place of residence of the buyer or seller shall have jurisdiction.

Upon the completion of the order, the buyer is deemed to have accepted all the terms of this agreement. …/…/…
